SECTION 1. TERMS OF ENGAGEMENT1.1 Engagement. Subject to the terms hereof, OBS engages Service Provider to provide the Servicesand all collateral obligations described herein or reasonably required to provide the Services, andService Provider hereby accepts such engagement. Any changes to the scope of Services or AppendixA must be approved in advance by OBS in writing.1.2 Effective Date. This Agreement shall commence on the date hereof and unless earlier terminatedin accordance herewith will expire upon the completion of all Services to be performed by ServiceProvider, or on the last Workday as confirmed by OBS. 1.3 Obligations. During the term hereof, Service Provider shall perform its obligations fully, faithfullyand efficiently and provide the Services to the best of its ability and the standards required by OBS.Service Provider shall work all necessary hours required to discharge the obligations herein in a timelymanner, and to properly and effectively complete the Services according to the needs established byOBS and in priority to any other engagement. Service Provider acknowledges that it is a fundamentalcondition of this Agreement that all Services are performed promptly as required by OBS. ServiceProvider shall take all necessary steps and obtain all necessary commitments to ensure that it is not inbreach of any of its obligations herein.
