The Fees mentioned above are quatedin RMB The amount payable is a fixed amount and shall not bechanged without approval from Mastercard MasterCard shall not be liable to Contractor for any amounts otherthan the Funding amount of CNY 846,040.816. The Total Charges payable by Mastercard under this Agreement (subjea to any deduction of the same inaccordance with this Agreement) incudes (a) all taxes, duties and fees (if applicable); and (b) all costs,charges and expenses incurred by the Contractor in supplying and delivering the services in accordance withthe terms and condtions ofthis Agreement, and Mastercard will not make any additional payment for theDeliverables.7. In the Event:a) Contractor terminates this Schedule 1 or Agreement for any reasons or,b) The Deliverables mentioned in this Schedule are not delivered for any reasons or,c) The Deliverables by Contractor are not in line with the speafications set forth in thisSchedule 1 or,d) The Deliverables by Contractor are found to be unsatisfactory by Mastercard,Contractor shall refund to Mastercard all amounts paid by Mastercardto Contractor hereunderless all reasonable expenses and costs incurred by Contractor in performance of thisSchedule 1 or Agreement.
