11. Rescheduling, Cancellation of Purchase Orders.<br>11.1. Jabil may, at no cost or charge, reschedule or modify purchase orders by notifying Supplier on or<br>before the scheduled shipment date for Standard Products. Jabil will not reschedule the Delivery Date for Non-<br>Standard Products more than 90 days from the original Delivery Date without Supplier’s prior written consent.<br>11.2. Jabil may, at no cost or charge, cancel orders of Standard Products that are not programmed for<br>Jabil by Supplier by notifying Supplier on or before the shipment date. Jabil may cancel orders of Standard<br>Products that are programmed for Jabil by Supplier two days prior to Supplier’s shipment date.<br>11.3. Non-standard Products to be negotiated separately in advance of order placement. In the event Jabil<br>desires to cancel an order for Non-standard Products, Jabil will purchase any non-returnable unique materials<br>already purchased by Supplier that are used in manufacturing the canceled Products; provided that; Supplier has<br>demonstrated to Jabil’s reasonable satisfaction that such materials cannot be used by Supplier in any of Supplier’s<br>other Products or sold to another person. As used in this Section 11.3, “unique materials” means any materials<br>customized for Jabil that Supplier does not or cannot use in the manufacture of other Products or sell to its other<br>customers. If unique materials can be reconfigured for use in other Products manufactured by Supplier, Supplier<br>will only charge Jabil the cost to reconfigure such materials for resale. Supplier will provide Jabil with the<br>necessary documentation showing the price paid by Supplier for such unique materials or the cost of any such<br>reconfiguration. In no event will Jabil’s cost exceed the price of the Product set forth in Jabil’s purchase order. In
