Each Party acknowledges that it has read and understands this Agreement and agrees to be bound by its terms. The Parties further agree that this Agreement, including the Appendices attached hereto, is the complete and exclusive statement of this Agreement between the parties with respect to its subject matter, and supersedes and merges all prior proposals, understandings and all other agreements, oral or written, between the parties.
