12. Extraordinary Circumstances. In the event that a Company Guest is unable to appear for a reservation due to extraordinary circumstances, as determined by Participating Hotel in its sole discretion (e.g., natural disaster), Participating Hotel may authorize Company to determine whether to refund amounts paid by such Company Guest for the booking at the Hotel made through the Services, provided appropriate documentation verifying the extraordinary circumstance is provided by Company Guest. If Participating Hotel chooses to accept Company Guest’s verification, Participating Hotel shall either: (i) refund Company and Company shall refund such amount or provide a credit to such Company Guest and shall notify Participating Hotel of the refund; or (ii) refund or provide a credit directly to Company Guest, as applicable.
