In addition to any other remedies Kellogg may have, Supplier will, at Kellogg’s option, either replace, credit Kellogg’s account or permit Kellogg to offset from any sum owed to Supplier the cost of any such non-conformance for which Supplier is required to indemnify Kellogg in accordance with Section 19. Supplier will reimburse Kellogg for all shipping and handling expenses incurred by Kellogg which are incidental to replacement of such Product. Supplier will dispose of such Product that is in its possession or control only as instructed in writing by Kellogg, with such determinations to be made by Kellogg in its sole discretion.
