RESCHEDULING AND FLEXIBILITY Logitech may without penalty reschedule delivery of the following percentages of Products for which purchase orders have been issued:Day prior to shipment date % of units which can be rescheduled (for supplier of other product than mobility products) % of units which can be rescheduled (for supplier of mobility products)22+ 100% 100%15 to 21 75% 100%8 to 14 50% 100%0 to 7 0% 0% Logitech requires that Supplier shall plan, establish and maintain Material Inventory and its safety stock and shall reserve assembly capacity to provide the following percentages of upside flexibility:Day prior to shipment date % of units in additional delivery commitment which will be met (for supplier of other product than mobility products) % of units in additional delivery commitment which will be met (for supplier of mobility products)22+ 100% 100%15 to 21 50% 75%8 to 14 25% 50%0 to 7 0% 0% Upside flexibility is limited to be no more than allowed by the tooling capacity previously agreed upon between Supplier and Logitech. Mobility products mean those peripherals or accessories used for or with tablet computers, mini tablets, smart phones, wearable products or any other personal electronic products for use on moving. 7. LIABILITYLogitech may cancel all or any portion of PO’s at any time according to the liability stated hereunder. Upon cancellation of any PO’s or the estimated requirements in Forecast, or in the event of expiration or termination of this Agreement, Supplier will do its reasonable endeavor to minimize the liabilities of Logitech and promptly provide an excess stock report to Logitech. In any event, Logitech will not be liable for materials that can be sold to other customers or used by Supplier. Logitech’s exclusive liability for any cancellations under the POs or the Forecast due to its cause shall be limited to those as below:(i) An amount not to exceed the purchase price of any unit of Products under the PO cancelled by Logitech. (ii) An amount not to exceed the following percentages of the total price of requirements in the latest Forecast.
