A Party shall not be in breach of this Section C.1 unless the violation is not corrected within thirty(30)days of notice from the other Party.Branding issues.Both Parties agree that neither it nor its affiliates will engage in deceitful/predatory advertising methods and formats that may have any negative implications for the other Party's Marks and brand reputation.In the event that the either Party reasonably determines that the other party or its affiliates or business partners are engaged in conduct that violates, or is otherwise not consistent with, the other Party's brand standards or reputation, the Party will request that the other works to resolve such a complaint within seventy two(72)hours.If the complaint is not resolved to the other Party's satisfaction within this timeframe, the Party may, upon written notice to Expedia identifying its objections in reasonable detail, require the Party to cease and desist such prohibited conduct within five(5)business days of receipt of such notice.This Agreement shall commence on the Effective Date and shall terminate on the latter of(a)the two(2)year anniversary of the Effective Date; and(b)the expiration of the last Participation Agreement governed by this Agreement(the "Term").Either Party may terminate the Agreement in the event of a material breach by the other Party if such breach is not cured within fourteen(14)days from the defaulting party's receipt of written notice of such breach, describing such breach in reasonable detail.The initial term of each Participation Agreement shall commence as of the Effective Date(as set out in the relevant Participation Agreement)and shall continue for a period of two(2)years(the "Initial Term").After the Initial Term, the relevant Participation Agreement shall automatically renew for successive one(1)year periods unless and until either Participating Hotel or Expedia notifies the other in writing of its desire not to renew no fewer than ninety(90)days prior to the end of the Initial Term or the then-current renewal term.The Initial Term and any such renewal terms shall be referred to herein as the "Participation Term".Termination of a Participation Agreement.Termination of a Participation Agreement shall not result in the termination of this Agreement or termination of any other Participation Agreement whether or not completed.Unless otherwise agreed in writing by the parties upon termination of this Agreement for any reason, all Participation Agreements then in effect will automatically terminate.Rooms, Rates and Availability.During the Term, each Participating Hotel will at all times make all Regular Rooms available for display on, and booking through the Expedia System("Last Room Availability Obligation"); provided that the foregoing does not apply to EEA Properties.
